Terms of Service

1. Acceptance of Terms

By accessing and using SimplyShop AI ("the Service"), operated by ERP Systems, LLC ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use the Service. You must be at least 18 years old to create an account.

2. Description of Service

SimplyShop AI is a shopping-research service. You create shopping lists and, on request, our AI research pipeline — two independent research agents whose findings are checked by a separate verification agent — searches online stores for offers, prices, and promo codes and returns a ranked set of results.

SimplyShop AI is not a store, marketplace, or seller. All purchases happen directly with third-party retailers on their own websites and under their own terms. Research results are informational only and are not purchase, financial, or professional advice.

3. User Accounts

To use research features you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Updating your information as necessary

4. Credits and Payments

The Service is monetized with one-time credit packs only. There are no subscriptions and nothing auto-renews.

• 1 credit researches 1 item on a list. Creating and editing lists is free and unlimited.
• Credits never expire.
• New accounts receive free trial credits (currently 3).
• Credits are charged only when an item’s research completes. Failed research runs are never charged.
• Payments are processed by Apple (iOS), Google Play (Android), or Stripe (web). We never store your payment card details.
• Prices are shown in U.S. dollars at the time of purchase.
• Purchased credits are non-refundable except where required by law or by the policies of the app store you bought them on. If a purchase is refunded, the corresponding credits are removed from your balance, which may make it negative and block new research until resolved.

5. Research Results, Prices, and Promo Codes

Offers, prices, availability, ratings, and promo codes are collected at research time and can change or expire at any moment. We work to verify results but make no guarantee that any offer, price, or promo code is accurate, complete, or still available when you visit the retailer. Always confirm the final price on the retailer's site before you buy. Local availability, where shown, is researched information — not live store inventory — and should be confirmed with the store before traveling.

6. Affiliate Links

Some offer links are affiliate links: we may earn a commission when you buy through them. Affiliate status never affects which offers we recommend or how they are ranked — ranking is completed before any affiliate matching happens. This disclosure also appears on results screens.

7. Prohibited Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to circumvent our security measures, rate limits, or credit accounting
• Access the Service with automated tools (scraping, bulk querying) outside the intended interfaces
• Reverse engineer, resell, or redistribute the Service or research results as a competing offering
• Harass, threaten, or abuse our staff or other users
• Infringe on intellectual property rights

8. Third-Party Stores and Links

Research results link to third-party websites we do not control. Your purchases, returns, warranties, and disputes are between you and the retailer under the retailer's terms and policies. We are not responsible for the quality, safety, legality, delivery, or support of any product you purchase from a third party.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by ERP Systems, LLC and are protected by copyright, trademark, and other intellectual property laws. The SimplyShop AI name, logos, and designs are trademarks of ERP Systems, LLC.

10. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. In no event shall ERP Systems, LLC be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, use, goodwill, or other intangible losses — arising from your use of the Service or from any purchase you make from a third-party retailer.

12. Termination

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including breach of these Terms. You may delete your account at any time; see the Privacy Policy for what happens to your data.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice before the new terms take effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

15. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and replace any prior agreements on the subject. You may not assign or transfer these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
